This Handbook is available as an immediate download only. Printed copies are not available except that this Handbook is reprinted in its entirety as a Chapter in the book:
"Strategies for Successfully Buying or Selling a Business."

About this Handbook:

Just what in the world is "due diligence?" I've heard a variation of that question many hundreds of times in my dealings as a business broker and as a lecturer on buying and selling a business. I think part of the mystery is in the wording of the phrase itself. The words by themselves don't mean much to the typical person and have more than a hint of "legalese" to them. In the business books I've written, I define due diligence as:

"The process of investigation by a potential buyer of a business's claimed and actual financial and operational performance. Trust but verify!"

In other words, it's the process whereby a potential business buyer makes sure that they fully understand everything they can about the anatomy of the company they are considering buying. For most buyers of small businesses, the transaction will be a once-in-a-lifetime experience and the major portion of their financial worth will likely be tied up in the purchase. It will be absolutely imperative for them to ensure to the maximum extent practical that they fully understand the details of the business they are buying.

That's why I've written this Handbook. I've provided over 125 of the key areas in a convenient check-list format that you should be looking into if you're considering buying or selling a business. And, in many cases I've provided you with the reasons why you should be investigating the areas I recommend. I also provide you with a framework within which you can most efficiently seek the information you need to make the right decision:

  • Examination and Review
  • Interviews and Discussions
  • Confirmation, Verification, and Validation
  • Calculations, Computations, and Analysis

If you're considering buying or selling a business, don't be without this crucial information. Buyers need to know what to look for, and sellers need to know where they'll be looking!

Jim Blasingame, the nationally recognized business radio talk show host of The Small Business Advocate has called this Handbook "the best value for the money he has ever seen!" Jim has recently been named for the second year in a row to radio's prestigious Heavy Hitter 100 list and is an authority on all matters relating to small business. Jim has also been honored by the U.S. Small Business Administration for his role in helping small business owners successfully operate their businesses.
